Please read these Terms and Conditions ("Agreement") carefully before registering as a photographer on the Mini Photo Sessions website ("Platform"). By creating an account and uploading images, you agree to be bound by this Agreement in its entirety.
1. Acceptance of Terms
By registering as a photographer on Mini Photo Sessions, you confirm that you are at least 18 years of age, have the legal authority to enter into this Agreement, and agree to comply with all terms outlined herein. If you do not agree to these terms, you may not register or use the Platform.
2. Photographer Account Registration
When registering for an account, you agree to: a. Provide accurate, current, and complete information during registration. b. Maintain and promptly update your account information to keep it accurate and current. c. Keep your login credentials confidential and not share your account with any third party. d. Notify Mini Photo Sessions immediately of any unauthorized use of your account.
3. Image Upload & License Grant
By uploading any image or photograph to the Mini Photo Sessions Platform, you grant Mini Photo Sessions a non-exclusive, royalty-free, worldwide, perpetual license to use, display, reproduce, distribute, and publish such images anywhere on the Mini Photo Sessions website and associated digital platforms for marketing, promotional, and editorial purposes. This license includes but is not limited to: • Displaying uploaded images on the homepage, gallery, search results, featured sections, and any other area of the Mini Photo Sessions website. • Using images in promotional materials, blog posts, newsletters, and social media posts that reference Mini Photo Sessions. • Resizing, cropping, or reformatting images as needed for technical display purposes without altering the fundamental artistic integrity of the work. • Using images as examples or portfolio showcases to demonstrate photographer quality on the Platform. You retain full ownership and copyright of all images you upload. Mini Photo Sessions will not sell your images to third parties or claim ownership of your work. Attribution to the photographer will be provided where practicable.
4. Content Standards & Prohibited Uploads
You represent and warrant that all images uploaded to the Platform: a. Are your original work and you hold all necessary rights, licenses, and permissions to upload and share them. b. Do not infringe upon the intellectual property, privacy, or publicity rights of any third party. c. Are accompanied by any required model releases or property releases for identifiable individuals or private locations. d. Do not contain nudity, explicit content, or material that is illegal, harmful, defamatory, or offensive. e. Comply with all applicable local, state, and federal laws.
5. Booking & Payments
Photographers are responsible for setting their own session rates, availability, and service descriptions. Mini Photo Sessions may charge a platform fee or commission on bookings made through the Platform. Payment terms, commission rates, and payout schedules will be provided separately during account setup and may be updated with notice to registered photographers.
6. Professional Conduct
Photographers agree to maintain a professional standard of conduct in all client interactions. This includes honoring confirmed bookings, communicating promptly with clients, delivering final images within the agreed timeline, and representing your services accurately in your profile and listings. Mini Photo Sessions reserves the right to suspend or terminate accounts that receive repeated complaints or engage in unprofessional conduct.
7. Indemnification
You agree to indemnify, defend, and hold harmless Mini Photo Sessions, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses arising out of or in connection with: (a) your use of the Platform; (b) any images you upload; (c) your breach of this Agreement; or (d) any dispute between you and a client.
8. Limitation of Liability
Mini Photo Sessions provides the Platform on an "as is" basis and makes no warranties regarding uptime, accuracy, or fitness for a particular purpose. In no event shall Mini Photo Sessions be liable for any indirect, incidental, special, or consequential damages arising out of your use of the Platform, even if advised of the possibility of such damages.
9. Termination
Either party may terminate this Agreement at any time. Mini Photo Sessions reserves the right to suspend or permanently remove any photographer account that violates these Terms and Conditions, without prior notice. Upon termination, your profile and listings will be removed from the Platform; however, Mini Photo Sessions may retain previously uploaded images that have been incorporated into website materials, subject to the license granted in Section 3. All fees paid to Mini Photo Sessions are non-refundable. If a photographer terminates their account after payment has been processed for the current billing month, no refund will be issued for that month, regardless of the date of termination. The photographer's account will remain active through the end of the paid billing period unless suspended by Mini Photo Sessions for a violation of these Terms and Conditions.
10. Privacy Policy
Your use of the Platform is also governed by our Privacy Policy, which is incorporated into this Agreement by reference. By using the Platform, you consent to the collection and use of your information as described in the Privacy Policy.
11. Modifications to Terms
Mini Photo Sessions reserves the right to update or modify these Terms and Conditions at any time. Continued use of the Platform following notification of changes constitutes acceptance of the revised terms. We will make reasonable efforts to notify registered photographers of material changes via email or a notice on the Platform.
12. Governing Law
This Agreement shall be governed by and construed in accordance with applicable laws. Any disputes arising under this Agreement shall be resolved through good-faith negotiation, and if unresolved, through binding arbitration or a court of competent jurisdiction.
